General Terms and Conditions
SALESBRIDGES B.V.
GENERAL TERMS AND CONDITIONS
English translation - version 24.09.2026-3
These General Terms and Conditions apply to Agreements with SalesBridges B.V. Part I and Part IV apply to all Customers. Part II applies only to Consumers. Part III applies only to Business Customers. Mandatory law always prevails over conflicting contractual provisions.
PART I - GENERAL PROVISIONS
Article 1 - Definitions
1.1 SalesBridges: SalesBridges B.V., Hillegom, the Netherlands, Chamber of Commerce 63552671; contact details are in Article 46.
1.2 Customer: any natural or legal person who buys or intends to buy Products or Services from SalesBridges.
1.3 Consumer: a natural person acting outside a business or professional activity.
1.4 Business Customer: a natural or legal person acting in a business, professional or commercial activity.
1.5 Product: any good offered or supplied by SalesBridges, including machines, equipment, parts and accessories.
1.6 Service: an agreed service relating to delivery, advice, installation, inspection, repair or support.
1.7 Specially Ordered Product: a Product specifically ordered, purchased, produced, reserved or imported for a Customer/project and not held as freely available regular stock.
1.8 Custom Product: a Product manufactured, modified or personalised to individual specifications; Article 26 separately determines whether Consumer withdrawal is excluded.
1.9 Agreement: any agreement between SalesBridges and a Customer concerning Products or Services.
1.10 Written: by letter, email or another durable electronic method whose content can be stored and reproduced.
1.11 CMR/Delivery Document: CMR consignment note, delivery note, POD or similar transport document; use of the term CMR does not mean the CMR Convention always applies.
1.12 WLL: Working Load Limit, the stated maximum safe working load.
1.13 Business Day: Monday to Friday, excluding generally recognised Dutch public holidays; statutory transport time limits follow their own calculation rules.
Article 2 - Applicability and order of precedence
2.1 These Terms apply to quotations, orders, order confirmations, Agreements, deliveries and related Services when validly incorporated.
2.2 SalesBridges makes them available before conclusion of the Agreement so the Customer can view and save them.
2.3 Parts I and IV apply to all Customers; Part II only to Consumers and Part III only to Business Customers.
2.4 In case of conflict, Part II prevails for Consumers and Part III for Business Customers, unless specifically stated otherwise.
2.5 A specifically agreed provision in a quotation, order confirmation or separate Agreement prevails over these Terms.
2.6 Purchasing or other terms of a Business Customer are rejected unless SalesBridges expressly accepts them in Writing.
2.7 An order number, supplier registration, receipt confirmation or administrative processing does not by itself constitute acceptance of the Customer's terms.
2.8 For mixed business/private use, applicable law determines the legal classification; a company name or VAT number alone is not decisive.
2.9 Mandatory law and applicable international conventions prevail.
Article 3 - Quotations and validity
3.1 Unless stated otherwise, a sufficiently definite quotation is valid for fourteen (14) calendar days from the quotation date.
3.2 Price indications, catalogues, product presentations and webshop listings are not binding offers unless otherwise apparent.
3.3 After expiry SalesBridges need not maintain price, availability, freight costs or estimated delivery time.
3.4 Quotations are based on known quantities, item numbers, specifications, delivery location and transport requirements.
3.5 Customer-requested changes may alter price and delivery time and require agreement if an Agreement already exists.
3.6 Obvious errors do not bind SalesBridges where the Customer reasonably should have understood that an error existed.
3.7 An availability reservation applies only if clearly communicated.
Article 4 - Orders and formation of the Agreement
4.1 A directed binding quotation becomes an Agreement upon timely, unmodified acceptance unless the quotation states otherwise.
4.2 A webshop or other order without a binding quotation is an offer by the Customer; SalesBridges accepts it by express order confirmation or clear performance.
4.3 An automatic receipt confirmation is not acceptance if it states that acceptance will follow separately.
4.4 Before acceptance SalesBridges may verify availability, specifications, price, freight, payment and Customer details.
4.5 If agreed advance payment is due, nothing has been paid and payment remains outstanding fourteen (14) calendar days after the payment request, SalesBridges may cancel the wholly unpaid order after a Written reminder giving a reasonable final payment period. A longer agreed payment period prevails.
4.6 Article 4.5 does not apply where a deposit or other part payment has been received.
4.7 A fully or partly paid order is not cancelled merely because fourteen days have passed; later payment default follows the ordinary default rules and, for B2B, Article 40.
4.8 Cancellation is confirmed in Writing and statutory termination requirements are observed.
4.9 After valid cancellation, a later request is treated as a new order under the terms then applicable.
4.10 Other valid grounds for termination remain available; amounts paid are not retained without legal basis.
Article 5 - Prices, VAT and payment
5.1 Prices and payment terms are clearly stated before conclusion; Consumer prices include applicable VAT and B2B prices indicate whether VAT is excluded.
5.2 Transport, delivery, installation, insurance, import duties, customs charges and other additional costs are included only if stated; Consumers receive required cost information in advance.
5.3 SalesBridges determines the payment arrangement offered for each order/project, taking account of factors such as size, Product type, customisation, purchasing terms, delivery stages and credit risk. Amounts/percentages, payment dates and method are communicated before conclusion and become binding after acceptance.
5.4 Business Customers may agree full/partial advance payment, instalments, milestone payments or credit. SalesBridges may make 100% payment before purchasing, production or dispatch a condition of its offer. There is no right to pay on account without agreement.
5.5 These Terms do not require a Consumer to prepay more than 50%. Higher or full prepayment requires a separate, express and voluntary individual agreement made at conclusion; in the ordinary Consumer ordering process an option remains available under which no more than 50% prepayment is compulsory.
5.6 Payment is received only after final credit to the designated account or valid settlement through the agreed payment service.
5.7 Bank and transaction charges are allocated only if agreed in advance and legally permitted.
5.8 Any Consumer right of suspension or set-off permitted by law remains available.
5.9 Statutory Consumer debt-collection rules apply; commercial interest is not charged to Consumers.
Article 6 - Freight, fuel and logistics costs
6.1 Logistics prices may be based on carrier tariffs, fuel, route, destination, exchange rates, insurance and charges at the time of quotation.
6.2 Customer-requested changes may result in additional logistics costs after agreement.
6.3 An agreed Consumer total price is not increased unilaterally except where legally permitted.
6.4 For B2B, unless a fixed logistics price was agreed, demonstrable external increases may be passed on for items such as freight, fuel, security/war surcharges, government charges, insurance, rerouting and transhipment.
6.5 Only actual increases outside SalesBridges' reasonable control and not already included in the price are passed on; costs caused by SalesBridges' own error are not.
6.6 SalesBridges informs the Business Customer, where reasonably possible, in good time about the cause and calculation.
6.7 Reasonable alternatives may be considered; cancellation of an unperformed part requires agreement or another valid ground.
6.8 Actual impossibility or illegality falls under Article 17; a cost increase alone is not force majeure.
Article 7 - Product information and technical specifications
7.1 SalesBridges aims to provide correct descriptions, specifications, capacities, dimensions, weights and images and remains responsible for agreed characteristics.
7.2 The Customer provides relevant information about intended use in good time; Article 31 also applies to B2B.
7.3 Images are illustrative where clearly so and do not override expressly agreed design, material, colour or dimensions.
7.4 Normal manufacturing tolerances are permitted insofar as compatible with the Agreement, safety and applicable standards.
7.5 Expressly agreed datasheets, drawings and specifications form part of the Agreement.
7.6 For WLL, dimensions, material and compatibility, the Customer must not rely solely on photographs.
7.7 Certificates and inspection documents are supplied where legally required or agreed; special project documentation must be separately agreed.
7.8 Legally required safety information, instructions and language versions are supplied without a separate paid assignment.
Article 8 - Product changes and successor models
8.1 Manufacturers may change or replace Products; this does not release SalesBridges from agreed delivery obligations.
8.2 A successor model may be proposed; changes to essential dimensions, WLL, material, connections, compatibility, certification or functionality require prior Customer approval.
8.3 A materially different Product is not supplied as a substitute without approval.
8.4 Minor changes with no adverse effect on agreed characteristics, safety, quality or use do not by themselves give a Business Customer a cancellation right.
8.5 Consumer rights concerning conformity and consent remain applicable.
Article 9 - Delivery and delivery times
9.1 B2B delivery times/ETAs are indicative unless expressly agreed as binding; Article 28 applies to Consumers.
9.2 SalesBridges makes reasonable efforts to meet announced times and reports relevant delays.
9.3 Time estimates assume timely payment, final specifications and approvals; Customer-caused delay may shift the schedule.
9.4 Partial deliveries are permitted when reasonable; Consumers are not charged unagreed additional shipping costs for them.
9.5 Installation, assembly, commissioning, indoor placement, lifting work or crane unloading are included only if expressly agreed.
9.6 The Customer provides correct delivery details and relevant site restrictions and unloading requirements.
9.7 Article 38 applies to B2B risk/unloading; Article 28 to Consumers.
9.8 Third-party delay is not automatically force majeure; Article 17 determines the consequences.
Article 10 - Collection and storage
10.1 For collection the Customer receives a readiness notice; collection is by appointment.
10.2 Unless otherwise agreed, Products are collected within thirty (30) calendar days.
10.3 Payment does not remove the obligation to collect.
10.4 Consumers pay storage charges only if legally valid, reasonable, proportionate and adequately disclosed in advance.
10.5 B2B may owe reasonable storage and handling charges from day 31 after Written notice.
10.6 Charges follow the agreed rate or demonstrable reasonable costs based on space, duration and work, without double charging.
10.7 SalesBridges may move B2B collection goods to external storage after notice and charge necessary reasonable costs.
10.8 For prolonged failure to collect, a final reasonable collection period is set.
10.9 Failure to collect does not automatically make paid Products the property of SalesBridges again; further disposal requires valid legal basis and proper accounting.
10.10 Article 38 applies to B2B transfer of risk; SalesBridges' duty of care remains.
Article 11 - Inspection on delivery, CMR and transport damage
11.1 The Customer, insofar as reasonably possible, inspects the shipment on delivery and before signing the CMR/delivery note/POD for visible damage, packaging condition and number of packages.
11.2 The driver should be asked for a reasonable opportunity for visual inspection; a full technical inspection at the vehicle is not required.
11.3 Visible damage and missing packages are specifically noted on the Delivery Document before signing; only writing "subject to reservation" may be insufficient.
11.4 Where possible, photographs are taken and Product/packaging preserved for inspection unless unsafe.
11.5 If the driver refuses a notation or the document provides no facility, the Customer records this immediately and informs SalesBridges and the carrier in Writing without delay.
11.6 B2B: maximum seven Business Days. Recognisable transport damage and delivery discrepancies must be reported in Writing to [email protected] immediately after discovery and no later than seven (7) Business Days after receipt. The date on the signed Delivery Document applies unless disproved; the delivery day is not counted. Each partial delivery has its own period. The first notice states order number, nature of the discrepancy and available evidence; supplements may follow.
11.7 Notice to SalesBridges is not automatically a reservation against the carrier. B2B, in coordination with SalesBridges, ensures required carrier notices are made in time; if SalesBridges takes this over it confirms this in Writing.
11.8 Where CMR applies, visible damage/loss is reserved no later than delivery; non-visible damage/loss within seven days in Writing, excluding Sundays and public holidays; delay claims require a reservation within 21 days. Article 11.6 does not extend these periods.
11.9 Signing without reservation may be evidence that no visible transport damage was found, but does not exclude contrary evidence or mandatory rights.
11.10 Late reporting of recognisable B2B delivery discrepancies may cause the relevant claim to lapse insofar as legally valid, considering recognisability, delay and prejudice to SalesBridges regarding investigation, evidence or recovery. This is not a general expiry period for hidden Product defects.
11.11 Transport damage first recognisable on unpacking is reported immediately; genuinely hidden Product defects fall under Article 33.4.
11.12 In case of serious/unsafe damage the Customer should, where possible, contact SalesBridges before acceptance; SalesBridges may advise acceptance under specific reservation or refusal.
11.13 Consumers are requested to follow this procedure; absence of immediate inspection, photographs or reservation does not limit mandatory Consumer rights.
Article 12 - Conformity and statutory guarantee
12.1 SalesBridges supplies Products conforming to the Agreement and applicable legal requirements.
12.2 Conformity is assessed with regard to agreed description, specifications, price, use, durability and circumstances.
12.3 The range is mainly industrial/professional; this may be relevant to expected characteristics and use.
12.4 The industrial nature of a Product does not automatically make a private purchaser a Business Customer.
12.5 Statutory conformity rights are separate from manufacturer, supplier or commercial guarantees and are not restricted for Consumers.
12.6 Products must be used within agreed and prescribed technical and safety limits.
Article 13 - EU statutory guarantee notice and scope
13.1 From 27 September 2026 SalesBridges provides, where legally required, the harmonised EU notice on the statutory conformity guarantee in the prescribed form.
13.2 Where required, SalesBridges also provides the applicable harmonised guarantee label for a qualifying free producer durability guarantee.
13.3 Statutory guarantee concerns non-conformity and is not general damage insurance, a lifetime guarantee, a maintenance contract or an automatic right to replacement, refund or damages for every defect, wear event or accident.
13.4 A European minimum reference does not limit Dutch Consumer rights to two years; relevant protection also depends on what could reasonably be expected from the Product.
13.5 Use, load, installation, environment, storage, inspection and maintenance may be relevant; technical limits including WLL, operating range, material, temperature, chemical and safety conditions must be observed.
13.6 To the extent caused by them and subject to mandatory law, damage due to matters such as accident/impact, overloading, incorrect use/installation, unauthorised modification/repair, inadequate maintenance/inspection, unsuitable storage/environment, Customer-risk transport or continued use after discovery of a defect is not for SalesBridges' account.
13.7 Exclusions apply only where there is relevant causation; an independent defect remains assessable.
13.8 Normal wear is not in itself non-conformity; premature/abnormal wear may be.
13.9 SalesBridges is given a reasonable opportunity to investigate before a remedy is determined.
13.10 Where non-conformity is established, statutory or agreed remedies apply; rejection by a manufacturer/supplier is not independently decisive for SalesBridges.
13.11 Statutory burden-of-proof rules remain unchanged.
13.12 For B2B, Part III, the Agreement and applicable law apply; specific Consumer protection does not apply automatically.
Article 14 - Maintenance, inspection and safety
14.1 The Customer uses, inspects and maintains Products according to instructions and law.
14.2 Periodic inspection, lubrication, adjustment, service and replacement of wear parts are the user's responsibility unless otherwise agreed.
14.3 For lifting/load-bearing Products, WLL, scope of use and safety instructions are strictly observed; use stops where a defect may create a safety risk.
14.4 SalesBridges may request relevant maintenance, inspection and examination records. Their absence does not automatically remove Consumer rights.
14.5 Consequences of misuse, overloading or inadequate maintenance/inspection are assessed under Article 13 and applicable law.
14.6 Serious safety incidents or suspected dangerous defects are reported as soon as possible; the Customer reasonably cooperates with investigation and measures.
14.7 The Business Customer preserves Product identification, passes on necessary safety information and cooperates with recalls.
14.8 Costs of safety measures follow cause, law and valid agreements.
14.9 SalesBridges' own statutory product-safety obligations remain unaffected.
Article 15 - Specially Ordered and Custom Products
15.1 Where relevant, the quotation/order confirmation identifies Products specifically purchased or made to individual specifications.
15.2 Before approval the Customer checks quantities, dimensions, capacity, material, connections and configuration; SalesBridges remains responsible for its own errors.
15.3 Changes after purchasing/production begins require agreement and may affect price/schedule.
15.4 For Consumers, Article 26 determines whether withdrawal is excluded; merely stating "specially ordered" is insufficient.
15.5 Article 32 applies to B2B cancellation/returns; the special nature of a Product does not remove rights arising from breach.
Article 16 - Alternative transport arrangements
16.1 If a route/carrier becomes unavailable, unsafe, unlawful or seriously disrupted, SalesBridges may use a reasonable alternative.
16.2 A material change to agreed delivery method, risk allocation or destination requires agreement.
16.3 Consumers are not unlawfully charged extra or deprived of statutory rights.
16.4 Articles 6 and 38 apply to B2B extra costs; Article 17 to force majeure.
Article 17 - Force majeure
17.1 Force majeure exists insofar as a failure cannot be attributed to SalesBridges under law, the Agreement or generally accepted standards and actually prevents or delays performance.
17.2 Depending on circumstances this may include natural disasters, fire, flood, war, terrorism, sanctions, government measures, major strikes, epidemics, power failure and exceptional production or transport disruption.
17.3 A supplier issue, cyber incident, staff shortage, customs problem or price increase is not automatically force majeure; avoidable or attributable circumstances are excluded.
17.4 SalesBridges informs the Customer as soon as reasonably possible of relevant consequences and reasonably limits delay and loss.
17.5 Affected obligations may be suspended during the impediment; unaffected obligations are performed where reasonably possible. Consumer rights remain applicable.
17.6 If B2B force majeure continues for more than sixty (60) consecutive calendar days or performance is permanently impossible, either party may terminate the affected unperformed part in Writing unless otherwise agreed.
17.7 Advance payments for undelivered performance are refunded on such termination; independently usable performance already supplied is accounted for.
17.8 No damages are payable for loss resulting solely from valid force majeure, subject to mandatory law.
Article 18 - Retention of title
18.1 To the extent legally permitted, ownership of delivered Products remains with SalesBridges until the purchase price due has been paid in full.
18.2 Ownership and risk are separate. Articles 28 and 38 govern risk; Article 37 additionally applies to B2B.
Article 19 - Complaints and warranty claims
19.1 Complaints/warranty claims are reported in Writing to [email protected] as soon as possible after discovery; Article 29 applies to Consumers and Article 33 to B2B.
19.2 Where relevant state order/invoice number, Product identification, discovery date, description and suitable photographs/video. SalesBridges may request reasonable information about use, load, installation, maintenance, inspection and, for transport damage, delivery documents.
19.3 Report in time even if evidence is incomplete; supplements may follow.
19.4 SalesBridges may inspect Products or arrange technical examination; the Customer makes them reasonably available and limits further damage.
19.5 Return for examination is coordinated in advance for weight, safety and examination location; this does not block Consumer withdrawal or statutory remedies.
19.6 Registration/examination is not admission of liability. A rejection is reasoned and relevant findings are reasonably shared on request.
19.7 Assessment follows the Agreement, applicable law, Product characteristics/age and probable cause; a manufacturer decision is not conclusive without SalesBridges' own assessment.
19.8 Articles 27 and 34 apply to justified claims.
19.9 Necessary examination, transport and repair of justified Consumer non-conformity are free of charge.
19.10 Other charges require a valid basis, clear advance information and consent where required.
19.11 Filing, examining or rejecting a complaint does not automatically create investigation charges.
19.12 Paid repairs outside coverage require separate consent.
Article 20 - Intellectual property and documentation
20.1 Rights in photographs, catalogues, drawings, designs, texts and documentation remain with SalesBridges or the rights holder.
20.2 Documentation may be used for the agreed Product/project; transfer of intellectual property requires a separate Written agreement.
20.3 Necessary provision of manuals, conformity and safety documentation to users, authorities or lawful purchasers remains permitted.
20.4 The Business Customer warrants that supplied designs/instructions may lawfully be used and is responsible for attributable infringing instructions.
Article 21 - Personal data and communications
21.1 SalesBridges processes personal data under applicable privacy law and its Privacy Policy.
21.2 Operational messages about quotations, payment, delivery, safety and claims may be sent electronically; where required, on a durable medium.
21.3 The Customer keeps contact and delivery details current.
21.4 Acceptance of these Terms is not consent to direct marketing where separate consent is required.
Article 22 - Amendments and severability
22.1 SalesBridges may amend these Terms for future Agreements.
22.2 A new version does not automatically or retrospectively amend existing Agreements.
22.3 If a provision is invalid or unenforceable, the remaining provisions continue insofar as possible.
22.4 For B2B, parties may agree a lawful replacement provision approximating the original purpose; no automatic unilateral replacement occurs.
22.5 An unfair Consumer term is not rewritten under this Article to become enforceable against the Consumer.
PART II - ADDITIONAL TERMS FOR CONSUMERS (B2C)
Article 23 - Consumer protection and precedence
23.1 This Part applies only to Consumers.
23.2 No provision limits mandatory Consumer protection.
23.3 In case of conflict Article 2 and applicable Consumer law govern; general provisions are applied accordingly.
Article 24 - Information before a Consumer Agreement
24.1 Before conclusion SalesBridges provides legally required information on identity/contact, Product characteristics, price/costs, payment, delivery, guarantees, complaints and withdrawal.
24.2 For goods not normally returnable by post, required information on direct return costs is provided in advance, if necessary as a reasonable maximum estimate.
24.3 Required information is provided clearly and, where required, confirmed on a durable medium.
24.4 An electronic order carrying a payment obligation uses a clear ordering step.
Article 25 - Consumer right of withdrawal
25.1 For a distance contract without a statutory exception, the Consumer may withdraw without reason within fourteen (14) days, including before receipt.
25.2 For Products the period starts the day after receipt by the Consumer/designated third party. For partial deliveries the last Product/part applies; for regular delivery the first Product. Statutory extension rules remain applicable.
25.3 Withdrawal is made by an unequivocal statement via [email protected], letter or online function; use of the model form is optional.
25.4 The statement must be sent before expiry of the period.
25.5 Where required, SalesBridges provides a clearly visible online withdrawal function and confirms its use promptly on a durable medium.
25.6 After withdrawal the Consumer returns within fourteen days unless SalesBridges offers collection; timely dispatch is sufficient.
25.7 Standard return address: SalesBridges B.V., Leidsestraat 126F, 2182 DS Hillegom, the Netherlands. For large/heavy Products practical coordination is requested; a return number/approval is not a condition for valid withdrawal.
25.8 Return costs. The Consumer bears direct return costs only if correctly disclosed before purchase. Return transport organised by SalesBridges is calculated per shipment based on factors including route, locations, carrier tariff, fuel surcharge, packages/pallets, weight, dimensions and special transport. For goods not normally returnable by post, the amount or a reasonable maximum estimate is disclosed before conclusion. If legally required information is missing, those costs are not charged. The Consumer may arrange suitable return transport independently. Non-conformity falls under Article 27.
25.9 On full withdrawal, payments received and the cost of the cheapest standard delivery are refunded; extra cost of voluntarily more expensive delivery is not.
25.10 Refund is made without undue delay and no later than fourteen days after the withdrawal statement, using the same payment method unless otherwise agreed at no cost.
25.11 Unless SalesBridges collects, refund may wait until receipt of the Products or proof of return, whichever is earlier.
25.12 Only handling beyond what is necessary to establish nature, characteristics and functioning may, where permitted, lead to compensation for actual diminished value.
25.13 No fixed withdrawal penalty, administration fee or restocking fee applies; original packaging is not an absolute condition, but return packaging must be safe.
25.14 Missing statutory withdrawal information extends the period according to law, up to twelve months beyond the original period.
25.15 For Services, statutory rules apply to commencement during the withdrawal period, proportionate payment and loss of withdrawal after complete performance.
25.16 Defects/non-conformity fall under Article 27.
Article 26 - Exceptions to withdrawal
26.1 Withdrawal is excluded only where a statutory exception applies and required information was correctly provided.
26.2 This may apply to non-prefabricated Products made to individual choice/specification or clearly personalised.
26.3 A standard Product specially ordered for a Consumer, a project name or selection from standard options is not automatically excluded custom-made goods.
26.4 Exclusion of withdrawal does not limit rights for non-conformity, non-delivery or other breach.
Article 27 - Statutory Consumer guarantee
27.1 The Consumer is entitled to a Product conforming to the Agreement and statutory conformity requirements; a manufacturer guarantee period does not limit this.
27.2 For non-conformity, statutory free remedies apply, including repair/replacement, subject to lawful refusal grounds.
27.3 Repair/replacement is carried out within a reasonable time without serious inconvenience; necessary material, labour, investigation, transport and legally required removal/installation costs are borne by SalesBridges.
27.4 Where legally permitted the Consumer may claim price reduction or termination; a minor defect does not automatically justify full termination.
27.5 Statutory evidential presumptions and longer mandatory protection remain applicable.
27.6 Additional manufacturer/supplier guarantees are in addition to statutory rights and do not release SalesBridges from its own obligations.
27.7 For Products with digital elements, legally required updates/information are provided.
27.8 Articles 13, 14 and 19 apply to use, wear and maintenance.
Article 28 - Consumer delivery and risk
28.1 SalesBridges delivers within the agreed period; without an agreed period, statutory delivery rules apply.
28.2 For late delivery, statutory rights to an additional period and, where permitted, termination apply.
28.3 On valid termination for non-delivery, payments received are refunded without undue delay.
28.4 Risk passes when the Consumer/designated third party other than the carrier physically receives the Product.
28.5 If the Consumer independently chooses a carrier not offered by SalesBridges, risk may pass earlier under the law.
28.6 Signing a POD, absence of a damage notation or a B2B Incoterm does not limit Consumer rights; only valid reasonable costs of failed delivery caused by the Consumer may be charged.
Article 29 - Consumer complaints
29.1 Consumer complaints may be submitted through Article 46. SalesBridges responds within seven calendar days; if substantive handling takes longer an expected response period is given.
29.2 Statutory duties to provide a remedy within a reasonable time remain applicable.
29.3 Notice of non-conformity within two months after discovery is timely; later notices are assessed under law and circumstances.
29.4 Transport and safety problems should preferably be reported immediately, without shortening statutory rights.
29.5 Discussion does not prevent the Consumer from timely seeking legal assistance, competent authorities or the courts.
PART III - ADDITIONAL TERMS FOR BUSINESS CUSTOMERS (B2B)
Article 30 - Applicability of B2B provisions
30.1 This Part applies only to Business Customers.
30.2 The Business Customer provides correct company, invoicing, VAT and contact details and ensures an authorised person places the order.
30.3 Consumer withdrawal and Consumer-only guarantee information do not automatically apply to B2B.
30.4 Mandatory law and statutory review of general terms remain applicable.
Article 31 - Product selection and suitability
31.1 Unless SalesBridges expressly accepts responsibility for engineering, design or Product selection, B2B assesses suitability for its intended application.
31.2 Where relevant it checks WLL/capacity, dimensions, material, compatibility, environment, temperature, intensity of use, certification and project requirements.
31.3 Special requirements of the Business Customer/client are communicated in Writing before conclusion; undisclosed requirements do not automatically become SalesBridges obligations.
31.4 General technical information does not replace project-specific calculations, risk analysis or installation design unless SalesBridges expressly accepts that responsibility.
31.5 Integration into machinery/installations/structures is the Business Customer's responsibility unless otherwise agreed.
31.6 The Business Customer provides competent users, required inspections and safety documentation and does not remove identification/warning labels.
31.7 On resale it passes on required manuals/safety information and does not promise wider guarantee/liability on behalf of SalesBridges without consent.
Article 32 - B2B orders, cancellation and voluntary returns
32.1 An accepted B2B order is binding and has no Consumer withdrawal right.
32.2 Voluntary cancellation, change or return without breach requires SalesBridges' prior Written consent.
32.3 On consent SalesBridges may charge demonstrable net loss, including irreversible purchasing/production, supplier cancellation, freight, handling and reasonably substantiated lost margin.
32.4 Saved costs, supplier credits and reasonably achievable net resale proceeds are deducted; there is no double recovery.
32.5 Cancellation/return of custom, modified, project-specific or Specially Ordered Products may be refused, especially after purchasing/production begins.
32.6 For an accepted B2B return, condition/packaging, location, transport responsibility and any handling charges are agreed in advance. Return transport is determined per shipment based on factors including route, carrier tariff/surcharges, packages/pallets, weight, dimensions and special transport; a fixed rate applies only if confirmed.
32.7 For wholly unpaid orders only Article 4.5-4.9 applies; part payments are not ignored.
32.8 On valid termination, amounts received and charges due are properly accounted for.
32.9 This Article does not limit rights arising from breach, valid termination or force majeure.
Article 33 - B2B inspection and acceptance
33.1 The Business Customer inspects Products as soon as possible after delivery and before use, processing or onward supply.
33.2 Visible transport damage and missing packages are recorded at delivery under Article 11; the seven Business Days do not extend that requirement or transport-law periods.
33.3 Wrong items, quantity differences and other discrepancies recognisable during normal incoming inspection are reported in Writing immediately and no later than seven (7) Business Days after receipt under Article 11.6. Later unpacking/internal processing does not extend the period.
33.4 Genuinely hidden Product defects are reported in Writing as soon as possible after discovery, in principle within five Business Days, without prejudice to any reasonable period under applicable law.
33.5 The notice describes the discrepancy and includes available evidence; Product and relevant packaging remain available for inspection.
33.6 Article 11.10 applies to late recognisable delivery discrepancies; other late notices are assessed under the Agreement and applicable law.
33.7 Signing for receipt is not technical final acceptance or waiver of hidden-defect rights unless separately validly agreed.
Article 34 - B2B guarantee and remedy procedure
34.1 SalesBridges supplies agreed Products with agreed characteristics; Consumer rules do not automatically apply.
34.2 Any additional B2B guarantee, duration, start and scope follow the expressly offered/agreed Product guarantee; a specifically broader commitment prevails.
34.3 Unless otherwise stated, an additional guarantee starts on delivery or, for Customer-delayed collection, no later than transfer of risk under Article 38. Without an offered/agreed guarantee there is no uniform commercial guarantee period.
34.4 A manufacturer guarantee does not bind SalesBridges more broadly than promised; manufacturer rejection does not automatically remove an independent SalesBridges obligation.
34.5 The Business Customer gives SalesBridges a reasonable opportunity to investigate and remedy a justified claim before third-party repair.
34.6 For a justified claim SalesBridges may first offer appropriate repair, replacement of a part or Product; if impossible/disproportionate, an appropriate price reduction or termination of the affected part with credit may follow.
34.7 The remedy is completed within a reasonable time; a defect in one component does not automatically entitle termination of an otherwise independently usable project.
34.8 Necessary parts, labour and pre-agreed standard transport fall within the agreed remedy scope; an additional manufacturer guarantee may have its own pre-disclosed transport arrangement.
34.9 Extraordinary site costs, crane/scaffolding, special access, urgent freight, travel/accommodation, third-party removal/reinstallation and replacement rental are borne by SalesBridges only if agreed, approved in advance or legally due; damages fall under Article 39.
34.10 Unapproved third-party repair costs are not automatically recoverable, except for reasonably necessary urgent/safety measures or where a right to third-party repair has arisen.
34.11 Articles 13 and 14 apply insofar as the stated circumstances caused the defect.
34.12 Repair/replacement does not automatically restart a commercial guarantee unless the guarantee or law provides otherwise.
34.13 Investigation costs for an unfounded claim are charged only under Article 19 and a reasonable calculation disclosed in advance.
Article 35 - B2B delivery delays
35.1 B2B delivery times are indicative unless expressly agreed as binding.
35.2 Where legally required, the Business Customer gives a reasonable additional period after delay.
35.3 Guaranteed deadlines, penalties or project-specific liability exist only if expressly agreed; a desired date on a purchase order is insufficient.
35.4 Delay by manufacturer, carrier or customs does not automatically create a right to penalties, cancellation or consequential loss.
35.5 Justified suspension for non-payment or missing Customer information may lead to a new reasonable schedule.
35.6 Article 17 applies to force majeure and Article 39 to damages; valid termination for sufficiently serious breach remains possible.
Article 36 - B2B collection and storage
36.1 Article 10 governs the collection period and storage from day 31.
36.2 The Business Customer provides a suitable vehicle, authorised collector, equipment and safe securing unless otherwise agreed.
36.3 Storage charges follow the agreed rate or reasonable calculation under Article 10.6 and may be invoiced periodically.
36.4 Necessary external storage and extra transport may be charged after notice; Article 38 governs risk.
36.5 Failure to collect does not automatically cause loss of ownership, advance payments or claims; legal follow-up requires applicable notice and accounting.
36.6 This Article does not apply to justified refusal due to SalesBridges' breach.
Article 37 - B2B retention of title
37.1 To the extent Article 3:92 Dutch Civil Code permits, Products remain SalesBridges property until all claims concerning delivered/to-be-delivered Products, related work and breach of such Agreements are paid.
37.2 The Business Customer stores these Products carefully and, where practical, identifies them as subject to retention of title.
37.3 From transfer of risk it maintains appropriate insurance where reasonably insurable.
37.4 Pledging/encumbrance prejudicing SalesBridges is prohibited. Resale in the ordinary course is permitted while no payment default exists and permission has not been withdrawn on reasonable grounds.
37.5 Attachment, third-party claims, threatened insolvency and loss/damage are reported immediately insofar as legally permitted.
37.6 On payment default SalesBridges may demand return where a valid basis exists; the Business Customer reasonably cooperates.
37.7 Repossession gives no unlimited right to enter premises or override third-party rights; insolvency rules remain applicable.
37.8 Repossession and sale proceeds are properly accounted for; no double payment is required.
Article 38 - B2B freight, delivery, unloading and risk
38.1 Expressly agreed delivery terms prevail. If an Incoterm is used, rule, place and version are recorded; absent other wording Incoterms 2020 applies.
38.2 Without a different agreement and where SalesBridges ships, risk passes when Products are at the delivery address on the arrived vehicle ready for unloading; unloading is then for B2B's account/risk.
38.3 If unloading by SalesBridges/carrier is expressly included, risk passes after unloading. Indoor placement, assembly and lifting are included only if agreed.
38.4 For collection or transport arranged by B2B, risk passes on actual handover at the collection location; loading/securing are for its account/risk unless otherwise agreed.
38.5 B2B provides access, safe unloading space, competent personnel and suitable unloading equipment; special equipment is agreed in advance.
38.6 Demonstrable extra costs caused by B2B's inaccessibility, absence, missing unloading equipment or unjustified refusal, including waiting, return freight, redelivery, handling and storage, are for its account without double recovery.
38.7 If delivery is impossible solely due to circumstances attributable to B2B, risk may pass after proper tender and Written notice; for collection goods not before expiry of the collection period.
38.8 Extraordinary logistics costs fall under Article 6; alternatives/termination under Articles 16 and 17.
38.9 Transfer of risk does not exclude liability for an earlier defect or defective packaging attributable to SalesBridges; mandatory transport law remains applicable.
Article 39 - B2B liability
39.1 Subject to 39.8, SalesBridges is not liable for indirect/consequential loss, including lost profit/revenue, savings, production/business interruption, loss of contracts/use, project delay, third-party penalties and temporary replacement equipment.
39.2 No liability exists for loss to the extent caused by B2B-attributable wrong Product selection, incorrect installation/operation, overloading/WLL exceedance, inadequate maintenance/inspection, unauthorised alteration, out-of-specification use or unnecessary continued unsafe use.
39.3 Subject to 39.8, SalesBridges' total liability for damages is limited to the net invoice amount excluding VAT of the Products/Services to which the liability relates and shall never exceed the total net invoice amount excluding VAT of the relevant order.
39.4 Net invoice amount means the invoiced amount after discounts, excluding VAT, interest and collection costs; for a partial claim the attributable part applies and, before invoicing, the agreed net price.
39.5 Claims from the same/related events are aggregated and per order do not exceed the total net invoice value.
39.6 The insured amount, available insurance cover or a higher insurance payment does not increase this limit.
39.7 The limit does not restrict a separate obligation to deliver, repair, replace or make a legally due refund; there is no double recovery.
39.8 Limitations do not apply to intent/conscious recklessness of SalesBridges or its management, or where mandatory law prohibits limitation or application would be unacceptable. Non-excludable product liability and liability for death/personal injury remain unaffected.
39.9 Insofar as valid, limitations apply regardless of the legal basis of the claim.
39.10 B2B reports loss promptly, provides reasonable opportunity for investigation/remedy and mitigates further loss, except necessary urgent/safety measures.
39.11 Employees/auxiliaries may rely on these limitations for their work insofar as valid; the combined limit is not increased.
Article 40 - B2B payment, suspension and default
40.1 The offered and accepted payment arrangement determines amounts, stages and due dates; default follows that arrangement and applicable law.
40.2 Payment is not dependent on payment, approval, financing, completion or acceptance by a principal/end user/third party unless SalesBridges expressly accepts this in Writing.
40.3 B2B pays without unilateral withholding, deduction or set-off unless SalesBridges recognises the counterclaim, it is finally established or mandatory law provides otherwise.
40.4 A complaint does not automatically justify stopping all payment; insofar as valid, undisputed amounts and unrelated invoices remain payable.
40.5 Late payment carries statutory commercial interest and recoverable collection costs.
40.6 SalesBridges may lawfully suspend related performance while due amounts remain unpaid and states reason/consequences in Writing.
40.7 Where objectively justified doubt exists, SalesBridges may require appropriate security or agreed prepayment insofar as law/Agreement permits.
40.8 After justified suspension a reasonable new schedule applies; demonstrable extra costs caused by payment default may be recovered without duplication.
40.9 For partly paid orders, ordinary default/termination rules apply to remaining payments; Article 4.5 does not apply.
40.10 On termination there is a substantiated accounting of performance, costs, payments and security.
Article 41 - B2B confidentiality
41.1 Parties keep clearly confidential non-public information, including prices, designs, calculations and project data, confidential and use it only for the Agreement or an authorised purpose.
41.2 The duty does not apply to lawfully public or independently obtained information.
41.3 Legally required disclosure and disclosure to advisers/contractors under appropriate confidentiality are permitted.
41.4 Lawful reporting to regulators, safety authorities, insurers or courts remains possible; the duty continues while information remains confidential.
PART IV - FINAL PROVISIONS
Article 42 - Governing law
42.1 Agreements with SalesBridges are governed by Dutch law.
42.2 The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
42.3 This choice does not deprive Consumers of mandatory protection applicable under private international law; other mandatory rules and conventions remain applicable.
Article 43 - Disputes
43.1 Parties first reasonably attempt to resolve disputes by consultation, without losing rights to timely proceedings, limitation interruption, interim relief or safety measures.
43.2 For B2B disputes, insofar as valid, the competent court within the District of The Hague has exclusive first-instance jurisdiction, subject to statutory subdistrict-court jurisdiction.
43.3 Mandatory jurisdiction rules, including transport conventions and rules on interim measures/enforcement, remain applicable.
43.4 For Consumers, the competent court is determined by applicable Consumer and private international law.
43.5 Out-of-court dispute resolution applies only if SalesBridges is actually affiliated or the parties separately accept it.
Article 44 - Entire agreement and Written deviations
44.1 The agreed quotation, order confirmation, technical annexes, specific agreements and these Terms together form the contractual framework.
44.2 Article 2 governs precedence; standard wording on a purchase order/portal does not change the Agreement without acceptance.
44.3 Additional B2B guarantees, penalties, technical responsibilities, different liability and other material changes must be expressly agreed in Writing by authorised representatives.
44.4 SalesBridges confirms such changes in Writing; statutory rules on authority and evidence remain applicable.
44.5 A one-off concession or failure to invoke a right does not automatically waive that right in other cases.
Article 45 - Language
45.1 These Terms may be available in Dutch, English, German and French.
45.2 For B2B interpretation differences, the Dutch master version prevails insofar as legally permitted and made available.
45.3 For Consumers, rights arising from information in their language, transparency requirements and applicable Consumer law remain unaffected.

Article 47 - Version, applicability and retention
47.1 This English translation corresponds to Dutch master version 24.09.2026-3, effective from 24 September 2026 for Agreements where it was validly made available before conclusion and incorporated.
47.2 The version agreed at conclusion applies unless later validly amended or mandatory law provides otherwise.
47.3 Publication of a new version does not automatically alter existing Agreements; provisions with a later statutory effective date follow that date and transitional law.
47.4 SalesBridges retains applicable versions and relevant evidence as long as legally required or reasonably necessary.
